These Software License Terms are an agreement between CodebyRay and the person or organization purchasing or using Review Rateable Pro (the “Licensee”). By accepting these terms, purchasing a license, downloading the software, or using it, the Licensee agrees to this agreement.
1. License grant
After full payment, CodebyRay grants the Licensee a limited, non-exclusive, non-transferable, perpetual license to install, modify, and use the version of Review Rateable Pro obtained during the Licensee’s update-coverage period. The license is for the Licensee’s own applications and is subject to the production-application limit shown on the purchased plan and invoice.
Local development, automated testing, continuous integration, staging, and disaster-recovery copies for the same licensed production application do not count as additional production applications. A production application is a separately deployed application serving live users or business operations.
An Agency or other unlimited plan may be used in applications delivered to the Licensee’s clients. A limited plan may be used only up to its stated production-application limit. Each client application counts as a separate production application unless the plan expressly provides unlimited use.
2. Ownership and permitted modifications
Review Rateable Pro is licensed, not sold. CodebyRay retains all right, title, and interest in the software, documentation, trademarks, and commercial source code. The Licensee owns its application and may modify the package for use within licensed applications, but modifications do not transfer ownership of the package or create a right to redistribute it.
Third-party and open-source components remain governed by their respective licenses. Nothing in these terms restricts rights granted directly by those third-party licenses.
3. Restrictions
The Licensee may not publish, sell, sublicense, share, or otherwise distribute Review Rateable Pro as a standalone package or in a form that allows another person to extract or reuse it independently. The Licensee may not share private Composer credentials, release archives, or source access outside its employees and contractors who need access for a licensed application and are bound to protect the software.
The Licensee may not remove proprietary notices, use the software to create a competing package intended for redistribution, exceed the purchased production-application limit, or use the software in violation of applicable law.
4. Delivery and credentials
Software is delivered through CodebyRay’s private Composer repository. Each credential is assigned to one licensed project and may be reused for that project’s local, staging, CI, and production environments. The Licensee must keep credentials confidential, exclude auth.json from source control, and promptly revoke any credential that is lost, exposed, or no longer needed.
CodebyRay may suspend or revoke repository credentials used for unauthorized distribution, credential sharing, fraud, chargebacks, security abuse, or a material breach of these terms. Credential enforcement does not remotely disable properly installed copies, except where continued use itself is unlicensed.
5. Updates, support, and renewal
The initial purchase includes the update and installation-support period shown on the plan and invoice. During that period, the Licensee may access releases made available under the license and request reasonable installation support through CodebyRay’s support channels. Support does not include custom application development, application-specific debugging, data migration, or third-party integration work unless separately agreed in writing.
Renewal is optional and is not automatic. If coverage expires, installed licensed versions may continue to be used, and the private repository continues to provide releases to which the Licensee was entitled during active coverage. Access to later releases and further support requires renewal at the then-current price and terms.
6. Fees, taxes, and refunds
Fees are due in the currency and amount shown at checkout and on the invoice. The Licensee is responsible for applicable taxes except taxes based on CodebyRay’s income. Because source code and private repository access are delivered after confirmed payment, purchases are non-refundable once access has been issued, except where required by law or expressly agreed by CodebyRay in writing. A payment reversal may suspend download and support access.
7. Warranty disclaimer
To the maximum extent permitted by law, Review Rateable Pro and related documentation are provided “as is” and “as available.” CodebyRay disclaims implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. CodebyRay does not warrant that the software will meet every requirement, operate without interruption, or be free of all defects. The Licensee is responsible for testing, backups, security, and compliance within its own application.
8. Limitation of liability
To the maximum extent permitted by law, CodebyRay will not be liable for indirect, incidental, special, exemplary, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption arising from the software or these terms. CodebyRay’s total aggregate liability for all claims relating to the software will not exceed the amount the Licensee paid for the applicable license during the twelve months before the event giving rise to the claim. These limits do not apply where liability cannot legally be excluded or limited.
9. Termination
The Licensee may stop using the software at any time. CodebyRay may terminate the license after written notice of a material breach that remains uncured for thirty days, or immediately for unauthorized redistribution, credential trafficking, fraud, or unlawful use. Upon termination, the Licensee must stop using and delete all copies of Review Rateable Pro. Provisions concerning ownership, restrictions, payment, disclaimers, liability, and governing law survive termination.
10. General terms
These terms and the applicable invoice are the complete agreement for the software license unless the parties sign a separate written agreement. The Licensee may not assign the license without CodebyRay’s written consent, except as part of a merger or sale of substantially all of the Licensee’s business if the successor accepts these terms. If any provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.
These terms are governed by the laws of the State of California, without regard to conflict-of-law rules. The state and federal courts located in Riverside County, California have exclusive jurisdiction, unless applicable law requires another forum.
CodebyRay may publish revised terms for future purchases and renewals. A perpetual license already purchased remains governed by the version accepted for that purchase, while a later renewal is governed by the version accepted at renewal.
